Metanoia Terms of Service

This Agreement (“Agreement”) is entered into by and between Metanoia America, LLC, a Delaware corporation (“Provider”), and the individual or entity (“Customer”) agreeing to these terms.

1. LICENSE AND USE

1.1 Software License: Subject to the terms of this Agreement, Provider grants Customer a non-exclusive, non-transferable license to use the Asset Information Center (AIC) software (“Software”) solely for its internal business purposes.

1.2 Site or Facility Licensing: Customer may license the Software for specific sites or facilities (“Licensed Locations”). Only users physically present at Licensed Locations are authorized to use the Software.

2. USER RESPONSIBILITIES

2.1 Use Restrictions: Users must not: a. Steal intellectual property or violate copyright laws; b. Spam other users or engage in any form of unauthorized communication; c. Use the Software or services for illegal activities; d. Utilize the Software in non-licensed locations.

2.2 Compliance: Customer is responsible for ensuring that all users comply with the terms of this Agreement. Any violation may result in the immediate termination of access to the Software and services.

3. INTELLECTUAL PROPERTY

3.1 Ownership: Provider retains all right, title, and interest in and to the Software and services, including all intellectual property rights.

3.2 User Data: Customer retains ownership of all data uploaded or entered into the Software. Customer grants Provider the right to use, process, and store such data for the purpose of providing the services.

4. TERM AND TERMINATION

4.1 Subscription Term: The term of the license is as specified in the subscription agreement.

5. CONFIDENTIALITY

5.1 Confidential Information: Each party agrees to keep confidential all non-public information disclosed by the other party that is marked as confidential or reasonably should be understood to be confidential.

6. DISCLAIMER OF WARRANTIES

6.1 As-Is Basis: The Software and services are provided “as-is” without any warranty of any kind. Provider disclaims all warranties, whether express, implied, or statutory.

7. LIMITATION OF LIABILITY

7.1 Limitation: In no event shall Provider be liable for any indirect, special, incidental, consequential, or punitive damages.

8. GENERAL PROVISIONS

8.1 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of [Your Jurisdiction].

8.2 Entire Agreement: This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements, oral or written, between the parties.
